Terms of Service
Effective date: 8 September 2026
These Terms govern your access to and use of Propagio (the “Service”), a visual-work review and approval platform operated by Propagio Pty Ltd ACN 701 978 930 (ABN 68 701 978 930) (“Propagio”, “we”, “us”). By creating an account or using the Service you agree to these Terms.
1. Definitions
- Organisation / Studio: the paying account that owns projects and invites members.
- Client: a person invited to review and approve work. An invited client gets a login. A share link shows one project without an account.
- Project: a body of work moving through stages (Brief → Draft → Final → Delivered).
- Content: renders, images, films, PDFs, comments and files uploaded to the Service.
2. Accounts and organisations
You must provide accurate details and keep your credentials secure. You are responsible for activity under your account and for the members and clients you invite. The Organisation is the entity responsible for billing and for its members’ use. The Service is for business use; by using it you confirm you can enter into a binding contract.
3. The Service
Propagio lets studios upload work and clients review, mark up and approve it stage by stage. We may improve, change or discontinue features over time.
Invitations and accounts. An invitation is a one-time link that lasts 7 days. It opens a screen where the person sets their own password. No temporary password is sent or shown. A Manager may copy the link and send it from their own email.
Share links and guest access. A client link or an artist link shows one project without an account. A link lasts up to 90 days; artist links last 14 days by default and can be extended. A link is revoked when the person who made it is removed from the project, or their account is deleted. A guest is a person from another company given a role on particular projects. Every guest grant has an end date set when the invitation is sent, 30 days by default, which the inviter can change.
Blind review. A project can be set to blind review. Clients then see one another only as "Reviewer 1", "Reviewer 2" and so on, and never see other clients' names. Studio staff do see them.
4. Acceptable use
You agree not to misuse the Service, including: uploading unlawful or infringing content; attempting to breach security, access other organisations’ data, or scrape the platform; reselling or sublicensing the Service; or using it to store content you have no right to.
Content moderation. We may scan and review uploaded content to detect unlawful material. We can remove content and suspend or terminate accounts. We will preserve and report illegal material, including child sexual abuse material, to law enforcement and regulators (in Australia, the eSafety Commissioner and the Australian Centre to Counter Child Exploitation) as required by law.
5. Intellectual property
Your Content stays yours. You (and your clients, as applicable) retain all rights in the Content you upload. You grant us a limited licence to host, process and display that Content solely to provide the Service. The platform stays ours. Propagio, its software, design, brand and underlying technology remain our property; nothing here transfers those rights to you.
6. Fees and billing
- Two paths. Projects are paid either per-project or under a subscription with a project allowance. You choose based on your volume.
- How you buy, and who provides the Service. Your subscription or per-project purchase is sold to you by Paddle.com as our authorised reseller and Merchant of Record. Paddle is the seller of record for that transaction: it handles payment, tax, receipts, refunds and chargebacks, and its buyer terms apply at checkout. The Propagio service itself is supplied and licensed to you directly by us under these Terms. So your purchase is governed by Paddle’s buyer terms, and your use of the Service is governed by this agreement.
- Advance notice of charges. We will show all costs before you are charged. For subscriptions we send a reminder at least five (5) working days before any renewal. No surprise charges.
- Cancellation. You may cancel a subscription at any time; access continues to the end of the paid period. Refunds are governed by our Refund Policy.
Per-project plans
A per-project payment buys six months of that project being live. It is a single payment. Nothing renews automatically and we will never charge you again without you choosing it.
We will tell you inside the app one month, one week and two days before the six months end. Before that point you can pay to extend the project for another six months at the same price. If you do not, it archives itself.
When a project archives it stays readable free for six months. After that you can keep it for longer by paying per project: A$5 for 6 more months or A$10 for 12, and for a Huge project A$10 for 6 more months or A$20 for 12. When paid archive time runs out we give you 8 days' notice by email and then delete the project permanently, files included. A project on an Unlimited plan is never deleted.
How long we keep your work
A project is live for six months. When that ends you can archive it, which keeps it readable for a further six months at no charge. At the end of that we give you eight days’ notice and then delete it permanently. Paying at any point starts a fresh six months.
While archived it may be held in low cost storage, which means restoring it can take longer than usual. We do not hold your material longer than we need it, which is what the Australian Privacy Principles require of us.
7. Third-party services
The Service relies on third parties including Paddle (payments), Amazon Web Services (hosting, Sydney region) and others listed in our Privacy Policy. Their availability is outside our control.
8. Availability and warranties
We work to keep the Service available but do not warrant it will be uninterrupted or error-free. Except as required by law (including the Australian Consumer Law), the Service is provided “as is”.
9. Consumer guarantees
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss, and our total liability is limited to the fees you paid us in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
11. Suspension and termination
We may suspend or terminate access for breach of these Terms, unlawful use, or non-payment. You may stop using the Service at any time. On termination we may delete Content after a reasonable period (see the Privacy Policy for retention).
12. Changes to these Terms
We may update these Terms; material changes will be notified. Continued use after changes take effect means you accept them.
13. Governing law
These Terms are governed by the laws of Western Australia, and you submit to the courts of that jurisdiction.
14. General
If any part of these Terms is unenforceable, the rest continues to apply. These Terms are the entire agreement between you and us about the Service. You may not transfer your rights under them without our consent; we may transfer ours to a successor of our business. A delay in enforcing a right is not a waiver of it.
